Sales Tax:

For BSO JR Buck Industries LLC dba Valence Industrial, sales tax would be charged unless a sales use tax certificate is supplied.

For BSO HB Products LLC dba Valence Industrial, sales tax charges do not apply.
Payment:

For BSO JR Buck Industries LLC dba Valence Industrial, payment may be made to "BSO JR Buck Industries" or "Valence Industrial”, both will be accepted. A credit card may be used but is subject to a 3.5% convenience fee.

For BSO HB Products LLC dba Valence Industrial, “BSO HB Products" or "Valence Industrial,” both will be accepted. A credit card may be used but is subject to a 3.5% convenience fee.

Charges will be applied for late payment.

The buyer shall pay all invoiced amounts due within the term limits agreed upon from the date of invoice.

Past due amounts shall accrue interest at the rate of 1.5% per month, compounded monthly.

If the buyer becomes delinquent by more than 60 days from the date of invoice, Valence Industrial may cancel any order, refuse to make further deliveries, and declare immediately due and payable all unpaid amounts previously delivered.

Valence Industrial will be entitled to reasonable attorney’s fees and costs incurred in collecting any amounts owed.​

Pricing is based on current material market conditions and current facility workloads. If any of these cause changes to the ARO date; costs or lead times may be adjusted accordingly.

Valence Industrial will communicate these changes and gain agreement prior to proceeding. Please note quote expiration date.​

All discrepancies, including quality assurance and shipped quantities, must be reported to the appropriate Valence Industrial facility within 15 business days after delivery is made. Otherwise, Valence Industrial cannot be responsible for any credits for any discrepancies.
Design Changes/Modification/Revisions:
Any design changes that would call for different material specifications and/or labor processes other than those planned for from the provided prints, will require a price review and potential price adjustment.
3D Files/Data:
Usable 3D data /DXF/ step file format is required for assembly, weld, and part files. If the correct files are not received when the PO is issued, Valence Industrial reserves the right to re-quote the project based on having to redraw part files.

Limited Warranty
Terms & Conditions Definitions:

“Contractor”: BSO JR Buck Industries LLC dba Valence Industrial or BSO HB Products LLC dba Valence Industrial.
-
“Project”: Fabricated, welded, machined, manufactured parts, assemblies, components, systems or otherwise procured items by the Contractor.

“Limited Warranty”: Contents of this document.
Coverage:
Workmanship and materials are warranted to be free from defects for a period of one (1) year.

Limited Warranty is subject to the following:

The Contractor has been paid in full for the Project and any related revisions, changes, modifications requested by the customer to the Project.

Any damage(s) to a person(s) or property arising from the use of any of the products or materials furnished; or any methods employed by the customer in connection with the Project.

Damage resulting from negligence, intentional misuse, or failure to properly maintain the Project by the customer.
-
The Limited Warranty stands null and void if any modifications/changes/revisions are made to the products or materials used in connection with the Project without prior written consent from the Contractor.
Exclusions:

Damage resulting from negligence, intentional misuse, or failure to properly maintain the Project by the customer.

Damage caused by conditions beyond Contractor control, such as, but not limited to inadequate training of resources that are required to use/operate the Project, inadequate/improper maintenance of the Project.

Any changes /modifications/revisions performed by the customer or anyone working for/with the customer.
-
Any issues resulting from the customer's integration systems (electrical, control, mechanical, etc.) for the Project.
-
This Warranty does not cover any costs associated with any installation/removal, assembly/dis-assembly of any portion of the project by the Contractor.

Any issues related to the Project not communicated by the customer to the Contractor in a timely manner.​
